This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee") and [Flipthetrack] @prodflipthetrack (“Licensor”) for the use of the weekly newsletter sample packs ("Asset") which includes audio files, samples, loops, and any other digital content included in the Asset.

A. License Grant Licensor grants Licensee a non-exclusive, non-transferable, limited license to use the Asset for the Licensee's own personal or commercial use. This license does not allow Licensee to sell, resell, distribute, or transfer the Asset or any part of it, in any format, to any third party. Licensee may not use the Asset in any manner that violates any applicable laws or regulations.

B. Restrictions Licensee may not modify, reverse engineer, decompile, or disassemble the Asset or any part of it. Licensee may not create derivative works based on the Asset, or use the Asset in any way that infringes on any intellectual property rights of Licensor or any third party. Licensee may not use the Asset for any illegal or unauthorized purpose.

C. Ownership Licensor retains all ownership and intellectual property rights in the Asset. Licensee acknowledges that the Asset is protected by copyright and other intellectual property laws.

D. Termination Licensor may terminate this Agreement immediately if Licensee breaches any of the terms of this Agreement. Upon termination, Licensee must immediately cease all use of the Asset and destroy all copies of the Asset.

E. Warranty Disclaimer The Asset is provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Licensor does not warrant that the Asset will meet Licensee's requirements, or that the operation of the Asset will be uninterrupted or error-free.

F. Limitation of Liability Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, even if Licensor has been advised of the possibility of such damages. Licensor's total liability under this Agreement shall not exceed the amount paid by Licensee for the Asset.

G. Governing Law This Agreement shall be governed by and construed in accordance with the laws of [Germany] without giving effect to any principles of conflicts of law.

H. Entire Agreement This Agreement constitutes the entire agreement between Licensee and Licensor with respect to the Asset, and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between Licensee and Licensor. By using the Asset, Licensee agrees to be bound by the terms and conditions of this Agreement. If Licensee does not agree to the terms and conditions of this Agreement, Licensee may not use the Asset.
